ORANGE VACAY™ TERMS OF USE AND SERVICE

These Terms of Use and Service (“Terms”) govern your purchase of, access to, and use of the Orange Vacay website, airfare-monitoring services, flight alerts, emails, Travel Circles, community features, promotional programs, links, and related services (collectively, the “Services”). The Services are operated by Media M, Inc., doing business as Orange Vacay ™(“Orange Vacay,” “we,” “us,” or “our”).

By purchasing an Orange Vacay access pass, clicking or checking a box indicating acceptance, submitting travel preferences, accessing a Travel Circle, or otherwise using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not purchase or use the Services.

1. Eligibility

You must be at least eighteen (18) years old and legally capable of entering into a binding agreement to purchase or use Orange Vacay. By using the Services, you represent that you meet these requirements, that the information you provide is materially accurate, and that you will use the Services only for lawful purposes.

2. What Orange Vacay Provides

Orange Vacay is a travel-information, airfare-monitoring, curation, alert, and community service. Depending on the access pass purchased, we may monitor domestic and international airfare, identify fares or travel opportunities we believe are noteworthy, send opportunities based partly on preferences you provide, provide information relating to Economy, Premium Economy, Business, First, private aviation, empty-leg or other travel opportunities, provide Travel Circle access, and provide links to airlines, online travel agencies, charter providers, hotels, activities, or other third parties.

Orange Vacay does not operate flights, own or operate aircraft, transport passengers, issue airline tickets, provide lodging, operate tours, control airline inventory, provide travel insurance, or itself provide the travel services referenced in our alerts. Unless expressly stated otherwise, Orange Vacay is not an airline, air carrier, aircraft operator, charter operator, charter broker, travel agency, tour operator, hotel, transportation provider, insurer, or other travel provider.

3. What You Are Purchasing

Your payment purchases access to the Orange Vacay Services applicable to your selected plan for the period stated at checkout. This may include airfare monitoring, curation, electronic alerts, personalized travel preferences, Travel Circle access, private-flight or empty-leg opportunity information, and other features identified at checkout.

You are purchasing monitoring, curation, access, and communication services. You are not purchasing a guaranteed flight, vacation, destination, airfare, savings amount, or travel result.

4. No Guaranteed Number of Flight Opportunities

Flight opportunities depend on market conditions Orange Vacay does not control. We do not guarantee any minimum number or frequency of flight alerts; that a qualifying opportunity will appear during your access period; that a fare will originate from any particular airport; that an opportunity will match your preferred destination, dates, airline, cabin, or itinerary; that private or empty-leg availability will occur; any specific percentage or dollar amount of savings; that a fare will remain available after we identify or send it; that you will personally consider an opportunity desirable; that you will choose to book it; or that your savings will exceed the amount you paid Orange Vacay.

Some access periods may contain numerous opportunities, while others may contain few or none meeting our standards or your preferences. Availability may be affected by airline pricing, inventory, airport selection, route changes, competition, seasonality, demand, fuel costs, weather, economic conditions, carrier strategy, and other circumstances outside our control. Orange Vacay may also elect not to send a fare that does not meet our internal standards.

5. Travel Preferences and Departure Airports

You are responsible for selecting travel preferences and departure airports that work for you. Selecting additional airports may increase the universe of potential opportunities but does not guarantee that additional opportunities will appear.

You may choose an airport that requires a separate flight, drive, train journey, hotel stay, or other positioning travel before beginning an itinerary. If you do, you are solely responsible for evaluating total transportation cost, travel time, baggage requirements, accommodation costs, separate-ticket risks, missed-connection risks, schedule changes, and overall practicality. Orange Vacay is not responsible for losses or additional expenses arising from separately booked positioning travel.

6. Access Periods and Renewals

Orange Vacay access passes are valid for the period shown at checkout. Unless expressly stated otherwise, access passes are one-time purchases and do not automatically renew. Alerts and other time-limited Services may stop when your access period expires, and additional access generally requires a new purchase. We may change pricing, packages, access periods, or features for future purchases.

7. Refunds, Credits, and Extensions

Except where required by applicable law, payments are generally non-refundable once access has begun.

A customer is not automatically entitled to a refund because the customer received fewer opportunities than expected; did not receive an opportunity the customer personally wished to purchase; disliked the destination, dates, airline, cabin, routing, or price; decided not to travel; could not travel; booked directly with an airline; used points or miles; found a fare elsewhere; failed to read an email; allowed emails to be filtered or blocked; changed travel preferences; did not use the Travel Circle; did not meet another traveler; did not book a trip; or allowed the access period to expire unused.

Orange Vacay may, in its discretion, provide additional access time, account credit, replacement access, a refund, or another courtesy accommodation. Providing an accommodation in one situation does not create an entitlement, precedent, or obligation to provide the same accommodation in another. Nothing in these Terms limits rights that applicable law does not permit us to waive.

8. Independent Airlines and Travel Providers

All actual travel is supplied by independent third parties. Airlines, OTAs, charter operators, hotels, transportation companies, activity providers, and other travel businesses—not Orange Vacay—control fares, taxes, fees, inventory, schedules, routes, baggage, seats, aircraft, cabins, cancellations, delays, refunds, credits, loyalty programs, points and miles, upgrades, boarding requirements, and conditions of carriage.

Any travel purchase or reservation is between you and the applicable third-party provider. Orange Vacay is not a party to that transaction and does not assume responsibility for the provider's acts, omissions, safety, operations, performance, or contractual obligations.

9. Fare Information and Availability

Airfare is dynamic. Prices and availability may change, disappear, sell out, or be corrected without notice. Before purchasing travel, you are responsible for confirming directly with the applicable provider the price, currency, airports, dates, cabin, baggage rules, connections, fare conditions, refundability, cancellation terms, passenger eligibility, and all other material booking details.

Orange Vacay is not responsible for airline or OTA pricing errors, withdrawn fares, unavailable inventory, incorrect third-party information, schedule changes, provider insolvency, booking errors, baggage disputes, delays, cancellations, missed connections, denied boarding, or a provider's refusal to honor a fare.

10. Affiliate and Third-Party Links

Orange Vacay may provide links to airlines, booking services, hotels, travel companies, or other third parties. Some links may be affiliate or referral links, and Orange Vacay may receive compensation if you complete an eligible transaction after using such a link.

You are not required to purchase through an Orange Vacay affiliate link. You may book directly, use another provider, or use points or miles. Orange Vacay does not guarantee that an affiliate transaction will be tracked or that a third-party provider will pay Orange Vacay a commission.

Third-party sites and transactions are governed by the applicable provider's terms, privacy policies, booking rules, refund policies, and other conditions.

11. Passports, Visas, and Travel Requirements

You are solely responsible for determining and satisfying all travel requirements applicable to your trip, including passports, passport validity, visas, immigration rules, transit requirements, entry permits, health documentation, vaccination requirements, customs rules, travel insurance, destination laws, and government travel restrictions or advisories.

Orange Vacay does not provide legal, immigration, medical, insurance, tax, or governmental-entry advice. Receiving a fare alert does not mean that Orange Vacay has determined that you are legally, medically, or practically eligible to take the trip.

12. Travel Circles

Orange Vacay may provide Travel Circles or similar community features as a courtesy tool for travelers who may be traveling to the same destination, geographic area, or during similar periods to discover and communicate with one another.

Travel Circles are communication tools only. Orange Vacay does not match users based on compatibility, pair travelers, select travel companions, recommend that one person meet another, endorse participants, guarantee compatibility, conduct criminal-background or reference checks, verify character or intentions, guarantee the accuracy of another user's itinerary or identity, supervise conversations, continuously monitor chats, supervise meetings, organize private meetups, provide security, arrange shared accommodations or transportation, arrange meals, nightlife, tours, excursions or other activities, act as a dating or matchmaking service, act as a travel-companion agency, or become a party to any relationship or arrangement users make with one another.

Admission to or participation in the same Travel Circle does not mean Orange Vacay has matched, approved, screened, verified, endorsed, or recommended any participant.

Travel Circle Availability and Message Retention: Travel Circles are temporary communication spaces. Circle access generally closes five (5) days after the associated trip ends. Travel Circle messages are generally deleted within thirty (30) days after the trip ends, except where longer retention is reasonably necessary to comply with applicable law, preserve evidence pursuant to a valid legal request, investigate reported misconduct, or protect the rights and safety of users or Orange Vacay.

13. No Background Checks or User Vetting

Unless expressly stated otherwise in writing, Orange Vacay does not conduct criminal-background checks, identity investigations, financial checks, employment verification, reference checks, behavioral screening, psychological screening, or other independent vetting of Circle participants.

Payment for Orange Vacay access or possession of an Orange Vacay member code does not establish that another person is trustworthy, honest, compatible, safe, reliable, or suitable for you.

14. User-Supplied Travel Information

Users may be permitted to submit confirmation numbers, booking references, airline details, destinations, dates, names, profile information, or similar travel information. Unless expressly stated otherwise, Orange Vacay does not independently authenticate every item submitted.

Information submitted by another user should not be interpreted as verification by Orange Vacay of that person's identity, booking, itinerary, travel plans, or intentions. Intentionally false or fraudulent submissions may result in suspension or termination.

15. User-to-User Interactions and Assumption of Risk

Any decision to communicate with, meet, travel with, share transportation with, share accommodation with, dine with, drink with, attend an excursion with, participate in nightlife with, or otherwise interact with another Circle participant is voluntary and made entirely at your own discretion.

Orange Vacay does not control another participant's behavior, identity, intentions, sobriety, honesty, reliability, medical condition, history, finances, relationships, travel plans, or suitability as a companion. You are responsible for exercising your own judgment and taking precautions appropriate to the circumstances.

To the fullest extent permitted by law, you voluntarily assume the ordinary risks associated with interacting with people you do not know.

16. User-Created Activities and Meetups

Circle participants may independently decide to meet, dine together, attend events, share rides, participate in nightlife, stay at the same property, travel together, attend excursions, or engage in other activities. Such activities remain user-created arrangements even if the participants first encountered one another through Orange Vacay.

Orange Vacay does not sponsor, organize, supervise, endorse, control, or assume responsibility for such activities merely because users connected through a Travel Circle.

17. Safety and Off-Platform Communications

Users should exercise ordinary personal-safety precautions when interacting with unfamiliar people, including meeting initially in public where appropriate, informing someone they trust of their plans, controlling their own transportation, protecting sensitive information, independently confirming arrangements, and ending an interaction if they feel unsafe.

Users may choose to communicate through telephone, text message, WhatsApp, Instagram, Facebook, Telegram, email, or other third-party services. Orange Vacay does not control those services or communications occurring through them. An interaction does not become Orange Vacay's responsibility merely because the individuals originally encountered one another through Orange Vacay.

If you believe there is an immediate threat to someone's safety, contact local emergency services or law enforcement.

18. Circle Conduct

You may not use Orange Vacay or any Travel Circle to threaten, stalk, harass, intimidate, assault, exploit, defraud, impersonate, blackmail, extort, unlawfully discriminate against, or knowingly deceive another person; facilitate unlawful sexual activity, theft, violence, criminal conduct, exploitation of minors, illegal goods or services, or other unlawful conduct; distribute another person's private information unlawfully; distribute malicious software; or otherwise create an unreasonable safety risk.

Orange Vacay may restrict, remove, suspend, or terminate access when we reasonably believe these Terms or applicable law have been violated.

19. No General Duty to Monitor

Orange Vacay does not undertake a contractual obligation to continuously monitor, investigate, supervise, pre-screen, or verify every user, profile, message, Circle, conversation, itinerary, meetup, representation, or off-platform interaction.

We may investigate, moderate, restrict, remove, or terminate content or access where we consider it appropriate. Our ability or decision to moderate does not create an obligation to discover every violation or prevent every harmful act.

20. User-Generated Content and Federal Platform Protections

Travel Circles and other interactive portions of the Services may contain content created or supplied by users or other third parties. Users remain responsible for the content they create and submit.

To the extent applicable, Orange Vacay reserves all rights, defenses, protections, and immunities available under 47 U.S.C. § 230 and other laws applicable to interactive computer services and third-party content. Orange Vacay's decision to permit, remove, restrict, moderate, investigate, or decline to remove third-party content does not mean Orange Vacay authored, endorsed, adopted, or assumed responsibility for that content beyond responsibility imposed by applicable law.

Nothing in these Terms claims protection for content actually created or materially developed by Orange Vacay itself or eliminates any legal obligation that cannot be waived.

21. Reporting, Suspension, and Removal

Users may report suspected misconduct to support<at>orangevacay.com. Orange Vacay may review reports, request additional information, restrict users, remove content, suspend access, terminate access, or refer appropriate matters to authorities.

Orange Vacay's decisions concerning access to its Services are internal platform decisions and do not constitute judicial determinations regarding the conduct of any person.

22. Member Codes and Access Credentials

Member codes, Circle codes, links, and other access credentials are intended for authorized users. You may not sell, publicly distribute, knowingly share for unauthorized use, manipulate, circumvent, or misuse purchase-verification systems, access restrictions, or expiration controls.

Orange Vacay may invalidate credentials or terminate access if we reasonably believe credentials have been compromised, improperly shared, manipulated, or misused.

23. Private Aviation and Empty-Leg Opportunities

Certain access levels may include information concerning private aviation, empty-leg flights, repositioning aircraft, or similar opportunities. Such inventory may be highly limited, volatile, and subject to rapid change.

Unless expressly stated otherwise, Orange Vacay is not the applicable air carrier, aircraft operator, charter operator, or charter broker. Any resulting transaction is between you and the applicable provider and is subject to that provider's terms and applicable aviation law.

24. Promotions, Creators, Ambassadors, and Referrals

Orange Vacay may use creators, ambassadors, affiliates, referral partners, promotional codes, QR codes, and referral links. Creators or referral partners may receive compensation when qualifying purchases occur through their links or codes, and customers may receive promotional discounts subject to applicable promotional terms.

Promotions may be limited to particular products or customers, limited in duration or use, discontinued prospectively, and have no cash value. Orange Vacay may reject suspected fraud, manipulation, or promotional abuse.

25. Payments, Taxes, Chargebacks, and Payment Providers

Payments are processed through our third-party provider. If you believe a charge is incorrect, contact us and we can investigate. Nothing in these Terms restricts payment or consumer rights that cannot lawfully be waived. Fraudulent misuse of chargeback or payment-dispute procedures may result in termination and other lawful remedies.

26. Electronic Communications

Orange Vacay relies substantially on electronic communications to deliver its Services. By purchasing access, you agree to receive transactional and service-related communications reasonably necessary to provide the Services you purchased.

You are responsible for providing an accurate email address to receive our communications. Orange Vacay is not responsible for non-delivery caused by incorrect addresses, spam filters, full mailboxes, provider blocking, device settings, network failures, or other conditions outside our reasonable control.

27. Third-Party Technology and Services

Orange Vacay may rely upon airlines, OTAs, payment processors, affiliate networks, email providers, hosting companies, cloud services, APIs, social platforms, community tools, analytics providers, and other third parties.

We do not control third-party systems, nor do we guarantee their accuracy, availability, security, operation, policies, or performance. Links or integrations do not constitute an endorsement or assumption of responsibility.

28. Intellectual Property

The Orange Vacay name, branding, logos, designs, graphics, written materials, proprietary editorial content, software, interfaces, databases, alert formats, workflows, systems, and other proprietary materials are owned by Orange Vacay or its licensors.

Your purchase gives you a limited, personal, non-exclusive, non-transferable, revocable right to use the applicable Services for lawful personal purposes during your access period. No ownership interest is transferred.

29. Confidentiality, Non-Disclosure, and Protection of Proprietary Systems

By accessing Orange Vacay, you may encounter non-public proprietary, operational, financial, strategic, or technical information concerning Orange Vacay. Such information may include internal platform mechanics, software, source code, security systems, deal-curation and filtering methods, data structures, automation systems, Circle mechanics, pricing logic, revenue structures, referral architecture, partner arrangements, product design, product roadmaps, growth or marketing strategies, unpublished financial or commercial information, operating procedures, and other non-public methods or systems.

You agree not to knowingly reverse engineer, decompile, disassemble, probe, clone, scrape, crawl, harvest, systematically capture, extract, reproduce, disclose, distribute, commercialize, exploit, or use such protected non-public information to replicate, interfere with, or materially assist in replicating Orange Vacay's proprietary systems or operations. You further agree not to use protected non-public information obtained through unauthorized access, circumvention, abuse of the Services, or confidential disclosure to build, materially assist, fund, advise, or operate a competing product that substantially reproduces Orange Vacay's protected non-public systems or methods.

These obligations survive expiration or termination for as long as the relevant information remains legally protectable as confidential or proprietary information.

Confidential information does not include information that is publicly available without violation of these Terms, lawfully known to you before disclosure, independently developed without use of protected Orange Vacay information, lawfully received from another source without confidentiality obligations, or permitted by applicable law to be disclosed.

Nothing in this Section restricts honest consumer reviews, truthful descriptions of a customer's experience, lawful complaints, reports of suspected unlawful conduct or safety concerns, communications with regulators or law enforcement, responses to legal process, protected whistleblower activity, or other legally protected communications.

30. No Scraping, Harvesting, or Unauthorized Exploitation

Except where applicable law prohibits such restrictions, you may not systematically scrape Orange Vacay alerts, copy substantial portions of proprietary databases or interfaces, harvest Circle participant information, collect personal information for unauthorized purposes, circumvent access restrictions or rate limits, or use Orange Vacay as a data source for a competing commercial service.

31. Feedback

If you voluntarily submit product suggestions, improvement ideas, feature requests, or similar feedback specifically intended to assist Orange Vacay in developing its Services, you grant Orange Vacay a worldwide, perpetual, non-exclusive, royalty-free right to use that feedback without compensation or obligation. This provision does not transfer ownership of an ordinary consumer review merely because you provide one.

32. Technology, Errors, and Availability

Orange Vacay does not warrant uninterrupted, error-free, or continuously available Services. Software bugs, Internet outages, email-delivery problems, cloud-service failures, payment failures, API failures, airline-system failures, third-party data inaccuracies, cyberattacks, maintenance, and other technical conditions may affect the Services.

Orange Vacay may correct errors, modify systems, conduct maintenance, restrict functionality, or temporarily disable features when reasonably necessary.

33. Force Majeure

Orange Vacay will not be liable for failure or delay caused by circumstances beyond our reasonable control, including severe weather, natural disasters, wildfire, war, terrorism, civil disturbance, epidemics or pandemics, governmental action, labor disruptions, transportation interruptions, airline disruption, widespread Internet or cloud outages, cyberattacks, payment-system failures, communications failures, utility failures, or similar events outside our reasonable control.

34. Privacy and Data Security

Our collection and use of personal information are governed by our Privacy Policy. Orange Vacay may use commercially reasonable measures designed to protect information in its possession, but no electronic system can guarantee absolute security. Nothing in these Terms eliminates privacy, security, breach-notification, or consumer rights imposed by applicable law.

35. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

Orange Vacay disclaims express and implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, security, or results, except where applicable law prohibits such disclaimers.

Without limiting the foregoing, Orange Vacay does not warrant that a particular fare will appear, that you will receive a particular number of alerts, that you will save a particular amount of money, that you will book or take a trip, that you will like an opportunity we send, that an airline will honor a fare, that a Travel Circle will contain any particular number or type of participants, that you will meet another traveler, that another participant will be safe or compatible, that information supplied by another user will be accurate, or that the Services will produce any particular travel, financial, social, or personal result.

36. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Orange Vacay and its owners, founders, members, officers, directors, employees, contractors, agents, affiliates, licensors, vendors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to the Services.

Without limiting the foregoing, and to the extent permitted by law, Orange Vacay is not responsible for losses arising from fare changes, unavailable inventory, airlines or other travel providers, cancellations, delays, missed connections, positioning travel, baggage, lost travel opportunities, destination conditions, user-generated content, Circle communications, meetings or interactions between users, user-created activities, inaccurate information supplied by another user, off-platform communications, property loss, theft, personal disputes, interruptions, third-party technology, lost data, lost profits, or lost business opportunities.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORANGE VACAY'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO YOUR PURCHASE OR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID ORANGE VACAY FOR THE ACCESS PASS DIRECTLY GIVING RISE TO THE CLAIM.

Nothing in these Terms limits liability that applicable law does not permit to be limited or excluded.

37. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Orange Vacay and its owners, founders, officers, directors, employees, contractors, agents, affiliates, and service providers from third-party claims, demands, damages, liabilities, judgments, losses, costs, and reasonable legal fees arising from your unlawful conduct, violation of these Terms, misuse of the Services, unlawful content you submit, infringement of another person's rights, fraud or misrepresentation, violation of applicable law, or independently arranged interactions or activities involving another user.

38. Suspension and Termination

Orange Vacay may suspend, restrict, or terminate access where we reasonably believe a user has violated these Terms, committed fraud, abused promotions, improperly shared paid access, endangered or harassed another person, interfered with our technology, attempted unauthorized access, misused proprietary information, or used the Services unlawfully.

Termination based on misconduct does not automatically entitle the user to a refund. Provisions that by their nature should survive termination—including intellectual property, confidentiality, dispute resolution, limitation of liability, indemnification, Section 230 protections, and governing law—survive termination.

39. Informal Dispute Resolution

Before commencing arbitration, the party asserting a dispute must send the other party written notice identifying the claimant, relevant contact information, the transaction or conduct at issue, the nature of the dispute, relevant facts, and the relief requested. The parties will attempt in good faith to resolve the matter informally for forty-five (45) days after receipt of a complete notice.

Notices to Orange Vacay must be sent to support<at>orangevacay.com. Nothing in this Section prevents either party from seeking emergency relief where applicable law permits.

40. Binding Individual Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except for qualifying small-claims matters, disputes that applicable law prohibits from arbitration, and permitted requests for temporary or emergency injunctive relief concerning intellectual property, confidential information, unauthorized access, or similar urgent matters, any dispute arising from or relating to these Terms, your purchase, the Services, or your relationship with Orange Vacay that remains unresolved after the informal dispute process shall be resolved by binding individual arbitration.

Arbitration shall be administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules then in effect, unless applicable law requires otherwise. The arbitrator may award individual remedies available under applicable law, and judgment on an arbitration award may be entered in a court having jurisdiction.

41. Class and Representative Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND ORANGE VACAY AGREE THAT CLAIMS AGAINST THE OTHER WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, REPRESENTATIVE, OR PARTICIPANT IN A CLASS, COLLECTIVE, REPRESENTATIVE, PRIVATE-ATTORNEY-GENERAL, OR CLASS-WIDE ARBITRATION PROCEEDING, EXCEPT TO THE EXTENT APPLICABLE LAW PROVIDES A NON-WAIVABLE RIGHT OTHERWISE.

Nothing in these Terms prevents either party from pursuing an eligible individual claim in small-claims court.

42. Governing Law and Venue

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules, except where applicable law requires otherwise.

Any dispute that is not subject to arbitration shall be brought in the appropriate state or federal courts located in Wyoming, unless applicable law provides otherwise.

43. Honest Reviews and Protected Communications

Nothing in these Terms prohibits an honest review, truthful opinion regarding your experience, good-faith consumer complaint, report of suspected unlawful conduct, safety report, communication with regulators or law enforcement, participation in a government investigation, compliance with legal process, protected whistleblower disclosure, or another communication protected by law.

This Section controls over any other provision that could reasonably be interpreted otherwise.

44. Changes to the Services or Terms

Orange Vacay may modify, add, replace, or discontinue features and may change pricing or packages for future purchases. We may also revise these Terms from time to time. The current version will display its effective date, and we will provide notice of material changes where required by law.

Changes will not retroactively eliminate rights where applicable law prohibits us from doing so.

45. No Agency or Partnership

Nothing in these Terms creates an employment, agency, partnership, franchise, fiduciary, joint-venture, or representative relationship between Orange Vacay and any customer or Circle participant. Circle participants have no authority to bind or represent Orange Vacay.

46. No Waiver

Orange Vacay's failure to enforce a provision of these Terms in one instance does not waive our right to enforce it later or to enforce another provision.

47. Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. Orange Vacay may assign these Terms in connection with a merger, financing, acquisition, corporate reorganization, sale of assets, sale of the business, or other lawful transfer, subject to applicable law.

48. Severability

If a court or arbitrator determines that any provision of these Terms is invalid, illegal, or unenforceable, the provision shall be interpreted or modified to the minimum extent reasonably necessary to make it enforceable where permitted. If modification is not possible, the provision will be severed and the remaining Terms will continue in full force.

49. Entire Agreement

These Terms, together with our Privacy Policy and any plan-specific, checkout-specific, promotional, or other terms expressly incorporated by reference, constitute the entire agreement between you and Orange Vacay concerning the Services and supersede prior agreements, representations, or understandings concerning the same subject matter.

50. Electronic Acceptance and Records

You agree that electronic acceptance of these Terms has the same effect as a written signature to the extent permitted by law. Orange Vacay may retain records reasonably demonstrating acceptance, including transaction information, date and time, email address, version of the Terms accepted, and other evidence of assent where legally appropriate.
